1. The service
VirtuaizeAI is a software-as-a-service platform that automates the capture, extraction, validation, and onward integration of Indian customs documents — primarily ICEGATE Shipping Bills and Bills of Entry. The service includes a web application, AI Copilot, SAP integration, and role-based administration tooling.
We continuously improve the service. Material reductions in functionality will be communicated to customer administrators at least 30 days in advance.
2. Business use only
VirtuaizeAI is offered to companies and entities for business use in connection with their export and import operations. The service is not intended for personal, non-commercial, or consumer use. You represent that you are authorised to bind your organisation when you accept these Terms or use the service on its behalf.
You may not use the service to process documents that you do not have a lawful basis to process, to attempt to reverse-engineer our extraction logic, or to interfere with the service's integrity or availability.
3. Intellectual property
- We own the platform. VirtuaizeAI and its underlying technology — including the coordinate-based extraction system, the AI Copilot orchestration, the dashboard, the integration layer, and all related software, models, designs, and trademarks — are the intellectual property of VirtuaizeAI.
- You own your data. Documents you upload, the structured fields extracted from those documents, and any derived analytics or reports remain your property. We claim no ownership of your customer data and grant you a perpetual right to export it during the active term of your subscription.
- Feedback. If you give us feedback or suggestions, we may use them to improve the service without obligation to you, provided we never identify you or your organisation as the source publicly.
4. Customer obligations
You agree that you will:
- Maintain the confidentiality of authentication credentials and promptly revoke access when team members leave.
- Ensure documents you upload are accurate copies of original records, are lawfully held, and are processed in compliance with applicable customs and data protection law.
- Pay applicable fees on time and notify us of any disputed invoices within 30 days of receipt.
5. Availability and support
We target a monthly uptime of 99.5% for the production application, measured outside of scheduled maintenance windows. Scheduled maintenance is communicated at least 48 hours in advance and, where possible, performed during low-volume windows.
Support is offered by email during Indian business hours. Critical incidents (loss of access, data integrity issues, or SAP push failures) are escalated outside of business hours where contractually agreed.
6. Limitation of liability
To the maximum extent permitted by law, VirtuaizeAI's aggregate liability arising out of or relating to the service shall not exceed the fees paid by you to VirtuaizeAI in the twelve (12) months preceding the event giving rise to the claim.
Neither party shall be liable for indirect, incidental, consequential, special, or exemplary damages, including loss of profits, revenue, or data, even if advised of the possibility of such damages. Nothing in this section excludes liability that cannot be excluded by law, including liability for fraud or wilful misconduct.
7. Termination
Either party may terminate for material breach not cured within 30 days of written notice. On termination, you may export your data within a 30-day wind-down period, after which all customer-specific data is deleted in line with our Privacy Policy.
8. Governing law
These Terms are governed by the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts at Kochi, Kerala. The parties will attempt good-faith resolution before commencing any proceedings.
9. Changes to these Terms
If we update these Terms, we will revise the “Last updated” date. Material changes will be notified to customer administrators by email at least 30 days before they take effect.
